Terms and Conditions

These Terms and Conditions apply to online orders placed through the SparkVision online store for delivery in Bulgaria or Romania.

Please read these Terms before placing an order. By placing an order, the customer confirms that they have had the opportunity to read these Terms, the Delivery and Payment Policy, the Returns and Withdrawal Policy, the Warranty and Complaints Policy, and the Privacy Policy.

1. Seller of Record

The seller of record depends on the delivery country selected by the customer at checkout:

  • For orders delivered in Bulgaria, the seller is SPARK VISION IS OOD, UIC 206677712, Krum Popov 1, 1164 Sofia, Bulgaria.
  • For orders delivered in Romania, the seller is SPARK VISION IS ROMANIA SRL, CUI 54581719, Trade Register No. J2026028294009, Str. Verzisori 6, Bl. D, Ap. B118, 040301, Sector 4, Bucharest, Romania.

2. Scope

These Terms apply to online sales of SparkVision products, accessories, bundles, and related services offered through the SparkVision online store.

These Terms apply together with the Delivery and Payment Policy, Returns and Withdrawal Policy, Warranty and Complaints Policy, Privacy Policy, product pages, product specifications, manuals, warranty certificates, safety information, EU Declarations of Conformity, and any additional terms clearly shown before the customer places the order.

If there is a conflict between these Terms and mandatory consumer-protection law, the mandatory legal rule applies. If there is a conflict between these Terms and product-specific safety instructions, the product-specific safety instructions apply for safe use, service, and product handling.

3. Customers

The SparkVision online store is intended for customers ordering for delivery in Bulgaria or Romania.

Consumers have the mandatory consumer rights provided by applicable EU, Bulgarian, or Romanian law.

Unless mandatory law provides otherwise, the statutory consumer right of withdrawal and other consumer-only rights do not apply to purchases made by legal entities, business customers, public institutions, or other buyers acting for business or professional purposes.

SparkVision may request reasonable information needed to issue an invoice, verify an order, process payment, deliver products, prevent fraud, or comply with legal obligations.

4. Products

SparkVision offers assistive consumer products and related accessories. Products may include smart glasses, smart rings, batteries, workstation devices, chargers, software, documentation, and other included or optional components depending on the product and bundle selected.

The specific products, product names, model identifiers, bundle contents, prices, availability, and technical characteristics are shown on the relevant product page and checkout page.

Product images, descriptions, videos, and demonstrations help customers understand the product. Minor differences in appearance, packaging, accessories, software interface, or documentation may occur if they do not materially affect the product ordered or the customer's mandatory rights.

SparkVision may update product software, features, documentation, and compatibility information over time.

5. Assistive Product Notice

SparkVision products are assistive consumer products. They are not medical devices, safety devices, emergency devices, navigation safety devices, food-safety verification tools, payment verification tools, legal or financial decision-making tools, or substitutes for professional advice.

AI, OCR, recognition, translation, scene description, route, transport, money, colour, object, label, document, and other assistive outputs may be incorrect, incomplete, delayed, unavailable, or affected by lighting, camera position, connectivity, software status, product settings, language, environment, or third-party services.

Customers must independently verify information that is important for safety, health, legal, financial, travel, accessibility, food, payment, or other important decisions.

6. Product Tiers, Bundles, and Accessories

Some products may be sold in different editions, tiers, bundles, or configurations. The included hardware and software features depend on the product selected and on the product page and checkout information shown before purchase.

SparkVision Glasses 2 Lite, Glasses 2 Ultra, and any other tiered products may have different included accessories, battery configuration, software features, usage limits, or support capabilities.

Where product tier is connected to a serial number, account, device identifier, or software entitlement, SparkVision may use those identifiers to activate or limit the features included in the purchased tier.

If a product is sold as an inseparable bundle, the included bundle items are part of the purchased product package. Bundle items may need to be returned together for withdrawal, warranty, complaint, or service handling.

Optional accessories or add-ons are included only if selected by the customer and shown in the order summary before purchase.

7. Subscriptions, Digital Services, and Software Features

Some software features, services, subscriptions, AI usage, cloud processing, or premium functions may be subject to additional terms, usage limits, availability limits, or separate pricing if they are offered.

If a paid subscription, paid digital service, or paid software feature is offered, the price, billing period, cancellation conditions, included functionality, and any loss of the right of withdrawal will be stated clearly before the customer subscribes or pays.

Unless a subscription or recurring paid service is expressly shown and accepted by the customer before purchase, purchasing a physical product does not create a recurring paid subscription obligation.

8. Account, App, and Connectivity Requirements

Some SparkVision products or functions may require a compatible mobile device, app installation, account, internet connection, Bluetooth, Wi-Fi, location permission, camera permission, microphone permission, software update, third-party service, or language configuration.

The customer is responsible for maintaining compatible devices, connectivity, permissions, and account access needed to use those functions, unless mandatory law provides otherwise.

Some functions may be unavailable, limited, or changed due to software updates, maintenance, third-party provider changes, network coverage, regulatory requirements, security needs, abuse prevention, or service discontinuation.

9. Prices and VAT

Prices shown to consumers in the online store include applicable VAT unless the store clearly states otherwise.

For orders delivered in Bulgaria, Bulgarian VAT is applied according to Bulgarian law. The standard VAT rate is currently 20%.

For orders delivered in Romania, Romanian VAT is applied according to Romanian law. The standard VAT rate is currently 21%.

The final price, including VAT and any delivery cost, is shown before the customer places the order.

SparkVision may change prices at any time before an order is placed. A price change does not affect an order that SparkVision has accepted, except where correction is required because of an obvious error or mandatory law.

10. Placing an Order

The customer selects the product, configuration, quantity, delivery country, delivery details, billing details, and payment method during checkout.

Before placing the order, the customer should review and correct any input errors. The customer is responsible for providing accurate and complete order, delivery, billing, and contact information.

By placing an order, the customer makes an offer to buy the selected products under these Terms.

SparkVision may acknowledge receipt of the order electronically. Unless the message clearly states that the order has been accepted, an automatic order receipt is not itself acceptance of the order.

The contract is formed when SparkVision accepts the order, for example by sending an order acceptance message, confirming dispatch, or otherwise clearly confirming that the order will be fulfilled.

11. Order Refusal, Cancellation, and Limited Quantities

SparkVision may refuse or cancel an order where payment is not completed, authorised, or verified; required information is missing or incorrect; the product is unavailable; a limited quantity has been exceeded; delivery is unsupported; the order appears fraudulent, abusive, technically incorrect, or placed in bad faith; an obvious price, description, or availability error occurred; compliance, export, sanctions, safety, or legal obligations prevent fulfilment; or cancellation is otherwise required or permitted by law.

If SparkVision cancels an order after payment has been received, SparkVision will refund the amount paid for the cancelled order or cancelled item, unless mandatory law provides otherwise.

12. Payment

The available payment methods are displayed during checkout. SparkVision accepts only the payment methods shown as available at the time the order is placed.

Payment must be completed according to the instructions shown at checkout. SparkVision may delay acceptance, dispatch, or delivery until payment has been confirmed.

The customer must not use a payment method without authorisation. SparkVision may use reasonable fraud-prevention checks and may cancel orders that appear fraudulent or unauthorised.

13. Invoices and Documents

An invoice or other legally required purchase document is issued by the seller of record for the relevant delivery country.

The customer is responsible for providing accurate billing details required for the invoice.

SparkVision may provide order documents, invoices, product documents, policies, manuals, warranty certificates, and compliance documents electronically, unless mandatory law requires another form.

14. Delivery

Delivery is available only in Bulgaria and Romania unless SparkVision expressly states otherwise.

Delivery methods, delivery cost, estimated delivery time, free delivery periods, manual dispatch, courier handling, failed delivery, and passing of risk are described in the Delivery and Payment Policy.

For consumer orders, the risk of accidental loss of or damage to the products passes to the customer only when the customer or a person indicated by the customer, other than the courier, has received physical possession of the products.

15. Withdrawal and Returns

Consumers have the statutory right to withdraw from an online purchase within 14 days without giving a reason, subject to the conditions and exceptions provided by applicable law.

The withdrawal process, withdrawal timing, model withdrawal form, return shipping cost, condition of returned products, bundle returns, and refund rules are described in the Returns and Withdrawal Policy.

The ordinary withdrawal process is separate from defective-product complaints and warranty claims.

16. Warranty, Legal Guarantee, and Complaints

Consumer products sold by SparkVision are covered by mandatory legal guarantee rights under applicable consumer law.

SparkVision also provides a commercial warranty for its products. Unless different terms are stated in the purchase documents or product-specific warranty certificate, the commercial warranty period is 24 months from product delivery.

Warranty support, legal guarantee claims, defective-product complaints, repair, replacement, service shipping, remedies, data handling during service, and complaint records are described in the Warranty and Complaints Policy and product-specific warranty certificates.

The commercial warranty does not replace, reduce, or limit mandatory consumer rights.

17. Product Safety, Manuals, and Compliance

The customer must read and follow the user manual, safety warnings, setup instructions, maintenance instructions, technical specifications, and compliance information provided with the product or made available online.

The customer must not open the housing, disassemble, modify, repair, or attempt unauthorised repair of SparkVision products, smart rings, batteries, chargers, or accessories.

The customer must use only safe, compatible, and permitted chargers, cables, accessories, and software configurations.

SparkVision makes relevant EU Declarations of Conformity, technical specifications, warranty certificates, and instructions available through the website.

18. Customer Responsibilities

The customer is responsible for providing accurate order, contact, billing, and delivery information; reviewing product descriptions, bundle contents, and tier limitations before purchase; using products according to manuals, safety instructions, and intended use; keeping account credentials secure; maintaining compatible devices, permissions, and connectivity where required; backing up or removing personal data before service or return where technically possible; checking products on delivery for visible transport damage; and contacting SparkVision promptly about defects, safety issues, incorrect delivery, or support needs.

19. Privacy and Personal Data

SparkVision processes personal data according to the Privacy Policy.

Depending on the order and product use, SparkVision may process personal data for order handling, payment, invoicing, delivery, customer support, warranty, complaints, service, fraud prevention, legal compliance, product use, accounts, app functionality, diagnostics, and related purposes.

Where third-party payment providers, couriers, hosting providers, email providers, service centres, or technical providers are used, they may process personal data according to their role and SparkVision's Privacy Policy.

20. Intellectual Property

SparkVision names, logos, software, website content, product documentation, product designs, images, videos, manuals, text, graphics, and related materials are protected by intellectual property rights.

The customer may use SparkVision software, documentation, and product materials only as needed for normal personal use of the purchased product and according to applicable documentation or licence terms.

The customer must not copy, modify, reverse engineer, decompile, distribute, resell, or misuse SparkVision software, documentation, or proprietary materials except where mandatory law permits it.

21. Third-Party Services

Some product features may use or depend on third-party services, such as AI processing, OCR, speech, translation, maps, route information, public transport information, hosting, communication, app store, operating system, or connectivity providers.

Third-party services may have their own terms, privacy notices, limitations, availability, and service changes. SparkVision is not responsible for third-party service failures except where mandatory law provides otherwise.

22. Liability

Nothing in these Terms excludes or limits liability where exclusion or limitation is not permitted by applicable law.

Subject to mandatory consumer law, SparkVision is not liable for use contrary to manuals, safety instructions, or intended use; decisions made solely based on AI or other assistive outputs; loss caused by failure to verify important information independently; third-party service outages, connectivity failures, or incompatible customer devices; data loss where the customer failed to remove or back up personal content before service, except where mandatory law provides otherwise; indirect or consequential losses where such limitation is permitted by law; or business losses where the buyer is not acting as a consumer.

For consumers, these Terms do not limit mandatory rights relating to non-conforming goods, withdrawal, legal guarantee, warranty, repair, replacement, price reduction, refund, damages, or consumer complaints.

23. Force Majeure

SparkVision is not responsible for delay or failure to perform caused by events outside its reasonable control, including natural disasters, fire, flood, epidemic, war, terrorism, civil unrest, labour disputes, supplier failure, transport disruption, courier disruption, power failure, internet failure, cyber incident, government action, regulatory restriction, customs delay, or other similar events.

SparkVision will take reasonable steps to reduce the effect of such events and will contact affected customers where appropriate.

24. Consumer Complaints and Alternative Dispute Resolution

Customers should first contact SparkVision at customer.support@sparkvision.tech so that SparkVision can review and try to resolve the issue.

Consumers may also contact the competent consumer-protection authority or use available alternative dispute resolution procedures according to applicable law.

For Bulgaria, consumers may contact the Bulgarian Commission for Consumer Protection or another competent Bulgarian consumer authority.

For Romania, consumers may contact the Romanian National Authority for Consumer Protection (ANPC) and may use available alternative dispute resolution procedures, including SAL where applicable.

The former EU Online Dispute Resolution platform was discontinued on 20 July 2025 and no longer operates as an active complaint-submission platform. SparkVision will not present that discontinued platform as an active dispute-resolution route.

25. Governing Law and Jurisdiction

These Terms are governed by the law of the seller of record for the relevant delivery country, unless mandatory consumer law provides otherwise.

For orders delivered in Bulgaria, Bulgarian law applies. For orders delivered in Romania, Romanian law applies.

Consumers may also benefit from mandatory consumer-protection rules of their country of residence where applicable. Nothing in these Terms deprives consumers of mandatory rights that cannot be waived by contract.

Disputes may be brought before the competent courts according to applicable law.

26. Language

SparkVision may make these Terms and related policies available in multiple languages.

For customers in Bulgaria, Bulgarian consumer-facing terms should be used for the Bulgarian store experience. For customers in Romania, Romanian consumer-facing terms should be used for the Romanian store experience.

If translations differ, the version required by mandatory law for the relevant customer and delivery country will apply. SparkVision may clarify translations where needed, provided this does not limit mandatory consumer rights.

27. Changes to These Terms

SparkVision may update these Terms when products, services, checkout flows, legal obligations, operational processes, or business needs change.

The version applicable to an order is the version made available to the customer when the order is placed, unless mandatory law requires otherwise.

Material changes will not retroactively reduce mandatory consumer rights for already accepted orders.
